Terms, privacy, and refunds.
Not a substitute for legal advice. This is a good-faith first draft, written honestly and specifically for what Merc actually does — it has not yet been reviewed by a lawyer. Full professional review is planned as the business grows; until then, treat this as informational, not a guarantee of legal completeness in every jurisdiction.
1. What you're buying
Merc AI Industries ("Merc," "we," "us") licenses you the right to download and run the Merc software on your own computer(s). Merc is not a hosted service — the software runs locally on your own hardware, under your own control.
2. Subscription and billing
Access is billed at $50/month (USD), charged on a recurring monthly basis through Stripe starting on your purchase date. You can cancel at any time; cancellation stops future billing but does not retroactively refund the current billing period except as described in our Refund Policy below.
3. Your own AI provider costs are separate
Merc's agents run on Claude and other third-party AI APIs using your own API key(s), which you provide during setup. Usage of those APIs is billed to you directly by the provider (e.g. Anthropic) — those costs are entirely separate from, and in addition to, your $50/month Merc subscription. We never see, store, or bill for your API usage.
4. No guaranteed outcomes
Merc is a tool for producing content and business material. We do not and cannot guarantee views, engagement, revenue, or any other business outcome from anything Merc helps you create.
5. Acceptable use
You agree not to use Merc for anything illegal, to redistribute or resell the software itself, or to attempt to reverse-engineer it for competing commercial use.
6. Ownership
You own the content Merc generates for you. We retain all rights to the Merc software itself.
7. No warranty, limitation of liability
Merc is provided "as is," without warranty of any kind. To the fullest extent permitted by law, Merc AI Industries is not liable for indirect, incidental, or consequential damages arising from your use of the software.
8. Governing law
These terms are currently intended to be governed by the laws of Canada, where Merc AI Industries is based, pending the fuller multi-jurisdiction legal review noted above.

We may update these terms as the product and business evolve. Material changes will be reflected here with an updated date.

The short version
Merc runs entirely on your own computer. We don't operate a server that Merc phones home to, and the software has no built-in analytics or tracking — there's very little of yours for us to collect in the first place.
What we actually receive
Waitlist email: if you join the waitlist, your email address is sent to our own inbox (industriesmerc@gmail.com) via your own email client — we don't run a separate marketing database behind this page.
Payment details: handled entirely by Stripe when you subscribe. We never receive or store your card number — only that a payment succeeded, and the billing email/name Stripe provides for account purposes.
What we never see
Your AI provider API key(s), your prompts, the content Merc generates for you, and your own local files never pass through any server we operate — Merc talks directly from your computer to the AI provider you've connected, using your own credentials.
Children's privacy
Merc is not directed at, and we do not knowingly collect information from, children under 16.

14-day guarantee
If Merc isn't right for you, email industriesmerc@gmail.com within 14 days of your first charge for a full refund of that payment, no questions asked.
After 14 days
You can cancel your subscription at any time to stop future billing. We don't provide partial-month refunds for cancellations made after the 14-day window — you'll keep access through the end of the billing period you already paid for.
How to request one
Email us with the address you subscribed with; refunds are processed back to your original payment method through Stripe, typically within 5–10 business days.
